Please read these terms carefully before using WinWaz. They govern your use of our platform and services.

Plain English summary: You own your data. We provide the platform. Don't use it for anything illegal. You can cancel anytime. During Beta, the service is free and features may change. Full details below.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and WinWaz / TechWaz London ("WinWaz", "we", "our", or "us") governing your access to and use of the WinWaz platform, website, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

If you are using the Service on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

2. Description of Service

WinWaz is a cloud-based business management platform designed for UK double glazing and window installation companies. The Service includes:

- CRM & Lead Management — tools to capture, track, and manage customer enquiries and leads - AI-Powered Quote Builder — automated quoting with pricing engine and PDF generation - Invoice & Payment Tracking — invoice creation, payment recording, and financial reporting - Job Scheduling & Dispatch — job management, installer assignment, and progress tracking - Customer Portal — a branded portal for your customers to view quotes, invoices, and job status - Analytics Dashboard — real-time business performance metrics and reporting - Communications Tools — WhatsApp QR sharing and email integration

The Service is provided on a subscription basis. Features available to you depend on your chosen subscription plan.

WinWaz is currently in Beta. During the Beta period, features may change, be added, or be removed without prior notice. We will endeavour to communicate significant changes in advance.

3. Accounts & Registration

Account Creation To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the accuracy of your account information and updating it as necessary.

Account Security You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at security@winwaz.com if you suspect any unauthorised access to your account.

Team Members You may invite team members (sales staff, installers) to your account. You are responsible for ensuring that all team members comply with these Terms. You may revoke team member access at any time through the Settings panel.

Account Eligibility You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. The Service is intended for business use only and is not designed for personal or consumer use.

4. Subscriptions & Billing

Subscription Plans WinWaz offers multiple subscription tiers (Starter, Professional, Enterprise) with different feature sets and usage limits. Current pricing is displayed on our pricing page. During the Beta period, all plans are available free of charge.

Billing Paid subscriptions are billed monthly or annually in advance. All prices are in GBP and exclusive of VAT unless stated otherwise. VAT will be added at the applicable UK rate.

Payment Processing Payments are processed by Stripe. By providing payment details, you authorise us to charge your payment method for the applicable subscription fees. We do not store your full card details.

Free Trial New accounts may be eligible for a free trial period. No credit card is required during the Beta period. We will provide advance notice before any free trial or Beta period ends and paid billing begins.

Cancellation You may cancel your subscription at any time through the Settings > Billing section. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods unless required by law.

Price Changes We reserve the right to change subscription prices. We will provide at least 30 days' notice of any price increase before it takes effect. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

- Use the Service in any way that violates applicable UK or international laws or regulations - Upload, transmit, or store any content that is unlawful, harmful, defamatory, obscene, or infringes third-party intellectual property rights - Attempt to gain unauthorised access to any part of the Service, other accounts, or our infrastructure - Use automated tools, bots, or scrapers to access the Service without our prior written consent - Reverse engineer, decompile, or attempt to extract the source code of the Service - Use the Service to send unsolicited communications (spam) or engage in phishing activities - Impersonate any person or entity or misrepresent your affiliation with any person or entity - Interfere with or disrupt the integrity or performance of the Service - Use the Service to store or process sensitive personal data beyond what is necessary for normal business operations (e.g., do not store payment card numbers, national insurance numbers, or medical data in free-text fields)

We reserve the right to suspend or terminate accounts that violate these acceptable use requirements.

6. Your Data & Content

Ownership You retain full ownership of all data, content, and information you upload or create within the Service ("Your Data"), including customer records, quotes, invoices, and job information.

Licence to WinWaz By using the Service, you grant WinWaz a limited, non-exclusive licence to store, process, and display Your Data solely for the purpose of providing the Service to you. We will not use Your Data for any other purpose without your consent.

Data Responsibility You are the data controller for Your Data under UK GDPR. You are responsible for ensuring you have the legal right to collect and process the personal data of your customers and team members, and that you comply with applicable data protection laws.

Data Portability You may export Your Data at any time through the platform's export features. On account closure, you have 90 days to export your data before it is deleted.

Backups We maintain regular backups of the Service infrastructure. However, you are responsible for maintaining your own backups of critical business data. We are not liable for data loss resulting from user error.

7. Intellectual Property

WinWaz IP The Service, including its software, design, features, algorithms, and all associated intellectual property, is owned by WinWaz / TechWaz London and is protected by UK and international copyright, trademark, and other intellectual property laws.

Licence to Use Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes.

Restrictions You may not copy, modify, distribute, sell, or lease any part of the Service, or reverse engineer or attempt to extract the source code of the Service, unless you have our written permission or applicable law permits it.

Feedback If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose, including improving the Service.

8. Third-Party Services

The Service integrates with or links to third-party services including Stripe (payments), Supabase (infrastructure), and WhatsApp (communications). Your use of these third-party services is subject to their respective terms of service and privacy policies.

We are not responsible for the availability, accuracy, or content of third-party services. Any issues with third-party integrations should be directed to the relevant provider.

Links to external websites are provided for convenience only. We do not endorse or take responsibility for the content of external sites.

9. Disclaimers & Warranties

Beta Disclaimer WinWaz is currently in Beta. The Service is provided "as is" and "as available" without warranties of any kind. During the Beta period, you acknowledge that the Service may contain bugs, errors, or incomplete features, and that functionality may change without notice.

No Warranty To the fullest extent permitted by applicable law, WinWaz disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Accuracy While we strive to ensure the accuracy of the AI pricing engine and other automated features, we do not warrant that any pricing suggestions, calculations, or recommendations are accurate or suitable for your specific business needs. You are responsible for reviewing and approving all quotes, invoices, and financial documents before sending them to customers.

Availability We do not guarantee that the Service will be available at all times. We may experience downtime for maintenance, updates, or reasons beyond our control.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

Exclusion of Consequential Loss WinWaz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or loss of goodwill, arising from your use of or inability to use the Service.

Cap on Liability Our total aggregate liability to you for any claims arising from or related to these Terms or the Service shall not exceed the greater of: (a) the total fees paid by you to WinWaz in the 12 months preceding the claim, or (b) £100.

Exceptions Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable UK law.

Consumer Rights If you are a consumer (not using the Service for business purposes), your statutory rights under UK consumer protection law are not affected by these Terms.

11. Indemnification

You agree to indemnify, defend, and hold harmless WinWaz, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

- Your use of the Service in violation of these Terms - Your violation of any applicable law or regulation - Your infringement of any third-party rights, including intellectual property or privacy rights - Any content or data you upload or transmit through the Service

12. Termination

By You You may terminate your account at any time by contacting us at support@winwaz.com or through the Settings panel. Termination takes effect at the end of your current billing period.

By WinWaz We may suspend or terminate your access to the Service immediately, without prior notice, if: - You breach these Terms in a material way - We are required to do so by law - We reasonably believe your account is being used fraudulently or in a way that harms other users or the Service

Effect of Termination Upon termination, your right to use the Service ceases immediately. We will retain your data for 90 days after termination to allow for export, after which it will be permanently deleted. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Dispute Resolution Before initiating formal legal proceedings, we encourage you to contact us at legal@winwaz.com to attempt to resolve any dispute informally. We will endeavour to respond within 14 days.

Alternative Dispute Resolution For disputes that cannot be resolved informally, you may be entitled to use an alternative dispute resolution (ADR) scheme. Details of available ADR schemes can be found at the UK Government's website.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Service, applicable law, or our business practices. When we make material changes, we will notify you by email or by displaying a prominent notice within the platform at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.

15. General Provisions

Entire Agreement These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and WinWaz regarding the Service and supersede all prior agreements.

Severability If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, government actions, internet outages, or third-party service failures.
